Join us as a Transaction Manager within Wholesale Lending. Transaction Management (TM) is part of Wholesale Lending and provides debt structuring and execution for UK Corporate Bank, International Corporate Bank and Investment Banking clients globally. TM has a wide remit, covering all multibank loans, event driven loans (M&A, financial sponsor LBOs, IPOs, money out) and general corporate and bilateral relationship lending of £15m or more. There is no upper limit and transactions often exceed £1bn. Clients are based across a range of geographies including the UK, Europe, the Middle East, Africa, the United States, Australia and Asia.

In this role you will structure, negotiate and execute high quality debt products to our clients which are profitable for Barclays and which are acceptable from a risk perspective. Specifically, to produce and negotiate term sheets, negotiate facility agreements and other finance documents and ultimately to bring transactions to a close. The role-holder is expected to develop and use up to date market and product knowledge, to bring creative idea generation and to develop and deploy market leading structuring and deal management capabilities in order to structure, negotiate and deliver innovative debt solutions in a timely manner.

Key responsibilities:

  • Support with the end-to-end journey of each transaction and independently lead the documentation and execution process, working closely with colleagues in Structuring, Coverage, Portfolio, Credit and Legal.

  • Review each opportunity to ensure any structural, legal, credit and regulatory risks have been considered, mitigated and, where required, approved. This requires detailed understanding of debt products and procedures and of the wider regulatory environment.

  • Lead discussions, prepare and negotiate term sheets that reflect the client specific requirements while also being acceptable to Barclays. The role holder will also lead negotiations of long-form facility agreements and any supplementary documents e.g. intercreditor agreements, ensuring that the facility documents are on-market, reflect our credit-approved position and cover all other required positions (e.g., sanctions, operations, portfolio management, etc.).

  • The role holder will need to actively manage and engage with stakeholders including clients, other banks, advisors as well as interacting with numerous internal stakeholders to ensure that they are able to reach the finishing line within the timeframe set by the client, often in demanding situations.

  • The role holder will be expected to embrace the evolving transactional environment and manage tight and conflicting deadlines where required.

Purpose of the role

To negotiate and execute lending transactions (acquisitions, general corporate purposes, refinances and material amendments) and where relevant provide co-ordination services to the borrower.   

Accountabilities

  • Negotiation of terms and coordination of lending transactions, including syndicated loans, structured finance deals, and other corporate lending activities.  .
  • Ensure documented terms reflect internal signoffs and meet Barclays’ key policies and procedures, across credit risk, pricing, portfolio, legal, sanctions, reputational, compliance and operational considerations.   .
  • Minimise risk of impairment and financial loss, negotiating terms that provide Barclays and the lenders generally with appropriate protections during the life of the loan and in any enforcement scenario.    .
  • Drive market standards including adherence to key LMA and other market principles, avoiding contagion risk and slippage of terms away from established principles.
  • Maintenance of accurate records of transactions and regular reporting for internal and external stakeholders.    .
  • Identification of areas of inefficiency in the transaction process and developing solutions to improve efficiency and monitor the impact of process improvements.    .
